Title 26 › Subtitle F — Procedure and Administration › CHAPTER 62 — TIME AND PLACE FOR PAYING TAX › Subchapter B — Extensions of Time for Payment › § 6164
A corporation can delay paying some or all of the income tax it owes for the previous year if it tells the Secretary that it expects a net operating loss that will be carried back. The corporation must file a written statement in the form and at the time the Secretary requires. The statement must give the estimated loss, the facts and reasons for expecting the loss, the estimated tax reduction that will come from carrying the loss back, the amount of tax payment to be delayed, and any other information the regulations ask for. The Secretary will give a receipt on request. The amount delayed cannot be bigger than the tax shown on the return plus any deficiencies or interest assessed before the statement was filed, minus any payments made before filing. An assessed amount is treated as required to be paid before filing if the 10th day after notice and demand for payment falls before the filing date. The delay ends on the last day of the month that includes the final date for filing the loss-year return (including extensions), or sooner if a tentative carryback claim is filed and the Secretary later mails a decision. A new statement replaces an earlier one, and if it reduces the amount, the extra time ends for the difference. The Secretary may examine statements and stop the delay if they are clearly wrong or if collection is in jeopardy. Special rules apply for consolidated returns.
