The Secretary may give technical help to a United States firm that is bidding on or has won a contract to plan, design, or build a project outside the United States. The firm must pay all costs up front before the United States spends any money. Before agreeing, the Secretary must weigh how the help would affect the Department of the Army’s civil works mission, staff, and facilities. The firm must certify that the help is not reasonably available elsewhere and must promise to protect the United States from any claims or damages tied to the project. If a federal employee invents something while helping, the Secretary can grant the firm rights to a patent or waive rights, but the United States keeps a worldwide, paid-up license to use the invention. Confidential or classified information given to the firm must be protected and can be released only with the Secretary’s written approval. Definitions: United States firm — a company (corporation, partnership, limited partnership, or sole proprietorship) formed under U.S. state law and based in the United States. United States (geographical) — the several States and the District of Columbia.
