The board of directors runs the corporation and uses the powers given to it. The bylaws set how many directors there are and how long they serve, but the board must have at least 10 members, including members who serve because of another office. Directors are picked from officers and members of the agencies and groups that take part in the annual national conference on citizenship and are elected by a majority of those agencies and groups that send delegates. The board must hold one annual meeting at the time and place in the bylaws and present its annual report; special meetings may be called under the bylaws. The board chooses three of its members who, with the president and the three vice presidents, form the executive committee. When the board is not meeting, that committee can act with the board’s powers as the board directs and can approve use of the corporation’s official seal. The executive committee selects the executive director and sets that person’s qualifications and terms. The executive director nominates professional staff, but the executive committee must approve them.
