Creates a 12-member board that runs the corporation. The Librarian of Congress is a nonvoting member and picks the directors. Each director must be a United States citizen. At least six directors must know about film production, distribution, preservation, or restoration, and two of those must be current members of the National Film Preservation Board; those six should, as much as possible, come from different parts of the film community. Directors serve 4-year terms with no limit on reappointment. Vacancies must be filled within 120 days the same way the original appointment was made. The Librarian names the first chair for 2 years; after that the chair is chosen under the corporation’s bylaws. A majority of current directors is needed for votes. The board meets at least once a year when the Librarian or chair calls it. A director who misses three regular meetings in a row may be removed. Directors are unpaid but may be paid back for travel and living expenses, are not Library employees or federal officers, and are not personally liable except for gross negligence.
