The board of directors runs the corporation when the members are not meeting. It sets the main policies and controls all the corporation’s money. The board must have at least 15 and no more than 25 directors, and at least four must be members of the medical profession. Officers include a chair, a president, one or more vice presidents, a secretary, a treasurer, and any assistant secretaries or treasurers the constitution and bylaws allow. How they are chosen, how long they serve, and what they do is set in the constitution and bylaws.
