Summary

The board of directors runs the corporation. It sets the corporation’s basic policies and programs and manages all of its money. The constitution and bylaws decide how many directors there are, how they are chosen, how vacancies are filled, and how long they serve, but the board must have at least 10 and no more than 25 members. The officers include a president, one or more vice presidents as the rules allow, a secretary, a treasurer, and any other officers the constitution and bylaws provide. How officers are elected, how long they serve, and what they do are set in the constitution and bylaws.
