Summary

The board of governors runs the corporation between member meetings. It sets general policies, oversees programs, and manages the corporation’s money. How many governors there are, how they are chosen, how vacancies are filled, and how long they serve are set in the bylaws, but the board must have at least 15 members. The board can create committees and give them powers in the bylaws or by board vote, including all the board’s powers if allowed. The corporation’s officers include a president, one or more vice presidents (as the bylaws allow), a secretary, a treasurer, assistant secretaries and assistant treasurers, and any other officers the bylaws provide. The bylaws also set how officers are elected, how long they serve, and what their duties are.
