Sets up a board of governors to run and oversee the corporation. The board decides how many members it has, but there must be at least 12 and no more than 25 members starting March 31, 2009, and at least 12 and no more than 20 members starting March 31, 2012. The board recommends a chairman to the President, and the President must appoint that person. If the chairman leaves, the same recommendation-and-appointment process is used. The other governors are elected at the corporation’s annual meeting under the bylaws, and the remaining governors can fill vacancies. Each governor’s term is 3 years, though the board may set shorter terms for members elected before March 31, 2012 to make the size changes work. A governor chosen to fill a vacancy may serve the rest of that term or until the next annual meeting, as the board decides. By March 31, 2012, about one-third of the board (or as close as possible) must be elected at each annual meeting. The bylaws set any limits on how many terms or years a person may serve. The board may create an executive committee from its members and other committees or advisory councils. It must appoint officers, including a chief executive officer, and may remove governors (except the chairman), officers, and employees under the bylaws. An advisory council of 8 to 10 members is appointed by the President from top executive-department and senior military officers; 1 to 3 must be from the Armed Forces. The council advises the board and meets at least once a year. Actions can be taken without a meeting if every board or committee member gives written or electronic consent and that consent is kept with the minutes. Proxy voting is not allowed at board, annual, or chapter meetings, except the board can allow proxy elections during an emergency. The board may adopt regular and emergency bylaws. “Entire board” means the full number of seats if none are empty, and the bylaws define “emergency.”
