A board of directors runs the corporation. The constitution and bylaws decide their powers, how many directors there are, how they are chosen, how vacancies are filled, and how long they serve. Officers are a chairman of the board, a president, one or more vice presidents, a secretary, and a treasurer. How those officers are chosen, how long they serve, and what they must do are also set by the constitution and bylaws.
