§30304 Governing Body

Summary

Sets rules for the corporation’s board and officers. The board must have at least 3 but no more than 15 directors. Directors are split into groups, and each group serves for a set number of years as the bylaws say. More than half the directors must be there to hold a meeting. Decisions need a majority vote of those present. A director can be removed at any time for good cause by a majority vote at a meeting held for that reason. If a director’s seat is empty, the remaining directors can fill it by majority vote at a meeting, and the new director serves until the next annual meeting.
