An executive board made up of United States citizens runs the corporation. The bylaws say how many board members there are, who can serve, and how long they serve. If a seat becomes empty, the other board members fill it by a majority vote. The bylaws can also set how many members must be present to do business; that number can be less than a majority of the whole board. By a vote of more than half of all board members, the board can pick an executive (governing) committee of 3 or more people. More than half of that committee is needed to act. That committee can handle board duties in running the corporation and can approve use of the corporate seal if the board or bylaws allow. The board can also create other standing committees by majority vote and give them powers in the bylaws.
