A board of directors runs the corporation. The corporation’s constitution and bylaws decide what the board can do, how many directors there are, how they are chosen, how vacancies are filled, and how long they serve. The officers include a chairman of the board, a president, one or more vice presidents, a secretary, a treasurer, and one or more assistant secretaries and assistant treasurers. The constitution and bylaws also set how officers are elected, their terms, and their duties.
