Creates a National Council of Girl Scouts and says council members must be U.S. citizens. The council decides how many members there are, who can serve, and how long they serve, under the group's own constitution. The council can write and change a constitution and bylaws, and it can elect a board, officers, and agents. The constitution can set how many members are needed for a meeting to count. That number can be less than half. Meetings happen as the constitution says for elections and for officers and the board to give reports. Special meetings can be called as the constitution allows. The board of directors runs the organization between council meetings, as the constitution and bylaws allow. The constitution sets how many directors there are, who can serve, and how long they serve. The constitution must say that a board quorum is at least 20 people or two-fifths of the whole board. Bylaws can create an executive committee to act between board meetings and other committees under the board’s supervision. The council and the board can meet and keep the organization’s seal and records in or outside the District of Columbia.
