Creates the International Clean Energy Foundation as a government-owned corporation in the executive branch. The Foundation’s job is to help lower global greenhouse gas emissions. It must be run by a Board of Directors and led day-to-day by a Chief Executive Officer (CEO). The Board picks the CEO, and the Senate must confirm that pick. The CEO must be a recognized leader in clean energy or climate work with experience in energy security, business, or foreign policy. The CEO reports to the Board, is paid at Executive Schedule level III (see section 5314 of title 5), runs the Foundation, and—with the Board’s OK—appoints the Foundation’s officers. The Board includes the Secretary of State, the Secretary of Energy, and the USAID Administrator (or each one’s designee), plus four outside experts appointed by the President with Senate confirmation. Each of those four must come from lists given by the House and Senate majority and minority leaders. The CEO sits on the Board but cannot vote. The agency officials serve on the Board while they hold their federal jobs. The four outside members serve 3-year terms and may be reappointed for another 3 years. The Secretary of State (or designee) is the Chair. A majority of Board members makes a quorum and generally must include at least one outside member, except during the 135-day period beginning December 19, 2007. The Board must meet at least once a year. Agency members get no extra pay but do get travel expenses under title 5 rules; the outside members are paid from Foundation funds at the daily equivalent of the highest rate under section 5332 of title 5 for days worked and get travel pay, but no more than 90 days of pay in any calendar year.
