For five years starting on October 21, 1986, the Corporation must follow specific rules about spending, programs, sales, and maintenance. Each fiscal year the Corporation must spend the larger of its depreciation for financial reporting or $500,000,000 on capital projects. The Board can cut that amount for good business or engineering reasons, but spending cannot be less than $350,000,000 in the first fiscal year after the sale date and must reach total spending of $700,000,000 after two years, $1,050,000,000 after three years, $1,400,000,000 after four years, and $1,750,000,000 after five years. The Corporation must keep its affirmative action and minority vendor programs as they were on February 8, 1985, within the law. It may not sell or transfer most railroad assets except to a wholly owned subsidiary, except for normal business deals. If the Commission issues an abandonment certificate for a line, the Corporation must offer that line for 120 days to a buyer who will connect service; the price must be 75 percent of the net liquidation value the Commission sets. The Corporation and its subsidiaries must keep their properties in good repair and not delay normal maintenance. After each fiscal year closes, or when the audit is done, an executive officer must send the Secretary of Transportation a signed certificate within 90 days saying the Corporation is following these rules (except for the dividend rule). That certificate must include audited consolidated financial statements. Within 5 days after declaring any common or preferred stock dividend, an executive officer must send the Secretary a signed certificate saying the dividend still meets any dividend requirements. That certificate must include quarterly financial statements and a report of total capital expenditures.
