The National Park Foundation must have a Board with at least six private U.S. citizens chosen by the Secretary. The Secretary and the Director are also on the Board but do not vote. Private members serve 6-year terms, and if someone is picked to fill a vacancy they only serve the rest of that term. The Board elects one of its members as Chairman for a 2-year term. Being a Board member is not a federal office. A majority of serving members is needed to do business. The Chairman calls meetings and the Board must meet at least once each year. The Foundation has an official seal that courts will recognize. Board members are not paid for their service but can be repaid from Foundation funds for actual and necessary travel and living expenses.
