What Emergent BioSolutions Inc. told the SEC could break it.
Emergent's disclosures show concentration on both ends of its biodefense business. Its revenue is dominated by a single buyer — the U.S. Government, which was about 46% of total revenue in 2025 (up from the high 30s) — and much of that comes through annual purchase options the government exercises for anthrax and smallpox countermeasures, so revenue swings with option timing and the availability of federal funding. On the supply side, it depends on single-source suppliers with no alternatives for critical inputs, including the Alhydrogel adjuvant used in its anthrax vaccines, all components of NARCAN Nasal Spray, and plasma collection for its VIGIV and BAT programs. It also carries 2028 Senior Unsecured Notes whose covenants limit its financial flexibility and require a repurchase offer on a change of control.

Regulatory & policy
- dependence on USG annual purchase options & government fundingmedium
Anthrax and smallpox MCM sales are made primarily under annual purchase options exercised by the USG, so revenue swings with option timing, USG purchase timing and availability of government funding.
“Anthrax MCM product sales are primarily made under annual purchase options exercised by the USG. Fluctuations in revenues result from the timing of the exercise of annual purchase options, the timing of USG purchases, the availability of governmental funding and Company delivery of orders that follow.”
