What ImmunityBio, Inc. told the SEC could break it.
ImmunityBio's disclosures are a chain of single-point dependencies around its approved product, ANKTIVA. Its distribution and collections run through one party — a single 3PL Agent that made up 100% of its trade accounts receivable at year-end 2025. Its commercial uptake hinges on BCG, which ANKTIVA is administered with, yet TICE BCG from Merck has been the sole U.S. supplier since 2012 and has been rationed since 2019 (57% of urologists report being unable to treat patients), a shortage it is trying to address through a Serum Institute arrangement. Its manufacturing leans on sole-source or limited vendors for reagents, equipment and materials, some without commercial-scale cGMP capacity. Underpinning it all, a royalty-financing agreement with Oberland could, on default, trigger foreclosure on substantially all of its assets.

In its own words
What could break it.
Sole-source dependency
- BCG supply: Merck (TICE BCG) sole U.S. supplier since 2012, ongoing shortagehigh
ANKTIVA is administered with BCG, but TICE BCG (Merck) has been the sole U.S. BCG supplier since 2012 with rationing ongoing since 2019 (57% of urologists report being unable to treat ~35,000 patients/year); ImmunityBio's commercial uptake depends on BCG availability, which it is addressing via its Serum Institute rBCG arrangement.
“TICE BCG (Merck) has been the sole supplier of BCG product in the U.S. since 2012, and rationing has been ongoing since 2019. According to published surveys, 57% of U.S. urologists report being unable to treat patients due to the BCG shortage, affecting an estimated 35,000 patients annually.”
SEC filing →As of 2026 - sole-source / limited vendors for reagents, equipment and specialty materialshigh
ImmunityBio depends on a small number of suppliers — in some cases sole-source vendors — for reagents, specialized equipment and materials used to manufacture ANKTIVA and other candidates; some lack the capacity to support commercial-scale cGMP production, risking supply interruption.
“For some of these reagents, equipment, and materials, we rely or may rely on sole source vendors or a limited number of vendors, which could impair our ability to manufacture and supply our approved product and any future products, if approved.”
Customer concentration
- single 3PL Agent = 100% of trade accounts receivablehigh
ANKTIVA is distributed through specialty distributors and a specialty pharmacy under a title model where a single 3PL Agent retains credit/collection risk; that 3PL Agent made up 100% of ImmunityBio's trade accounts receivable at year-end 2025, concentrating distribution and collection dependence in one party.
“As of December 31, 2025, the company's 3PL Agent made up 100 % of its trade accounts receivable, net balance.”

Liquidity & debt
- Oberland RIPA — default could trigger foreclosure on substantially all assetsmedium
ImmunityBio's royalty-financing agreement (RIPA) with Oberland carries operational covenants and events of default; failure to pay amounts owed to Oberland when due would default the RIPA and could result in foreclosure on all or substantially all of the company's assets.
“Failure to pay amounts owed to Oberland when due would result in a default under the RIPA and could result in foreclosure on all or substantially all of our assets, which would have a material adverse effect on our financial condition and business operations.”

Serum Institute of India
“In May 2024, we announced an exclusive global arrangement with Serum Institute to supply us with rBCG for use in combination with ANKTIVA.”
