What Innventure, Inc. told the SEC could break it.
Innventure's disclosures are those of a pre-profit company commercializing early-stage technologies, where the risks split between funding and regulation. It and its portfolio companies are not yet profitable and depend on potentially dilutive capital, notably a Yorkville equity facility of up to $75 million, so unavailable or too-dilutive funding would impair the business. Much of the rest of its register is regulatory exposure across those portfolio companies: its Accelsius cooling products rely on fluorine-containing refrigerants that regulators may curtail over PFAS and global-warming concerns, its AeroFlexx packaging needs FDA approval for food-grade use that can take up to a year, and supply and customer-acquisition costs — including tariffs — could keep its companies from reaching profitability.
4 self-disclosed vulnerabilities, pulled from its own filings, each in the company’s words, with the source. This is the risk register almost nobody reads.

What could break it.
Regulatory & policy
- PFAS / fluorinated refrigerant curtailment (Accelsius cooling)medium
Accelsius' cooling products use fluorine-containing working-fluid refrigerants; regulators inside and outside the US may curtail PFAS/HFO/HCFO use over environmental and global-warming concerns, threatening the product.
“The market and/or regulatory agencies inside and outside the United States may elect to curtail the use of polyfluoroalkyl substances, including hydrofluoroolefins and hydrochlorofluoroolefins, due to their persistence in the environment, their global warming potential, or their ozone depletion potential.”
SEC filing →As of 2026 - FDA food-grade packaging approval (AeroFlexx)medium
AeroFlexx's packaging in food-grade applications is FDA-regulated; obtaining approval takes up to a year and requires partnering with certified co-manufacturers, gating commercialization.
“The use of AFX's products in food grade applications is subject to regulation by the U.S. Food and Drug Administration (“FDA”).”

Liquidity & debt
- reliance on dilutive Yorkville SEPA funding; pre-profitmedium
Innventure and its companies are not yet profitable and depend on potentially dilutive Yorkville SEPA equity funding (up to $75M) and other capital; unavailable or prohibitively dilutive funding would impair the business.
“The extent to which Innventure will rely on Yorkville as a source of funding will depend on a number of factors, including the prevailing market price of Common Stock and the extent to which Innventure is able to secure working and other capital from other sources.”
