What Ispire Technology Inc. told the SEC could break it.
Ispire's disclosures cluster on concentration at both ends of its business and the trade policy in between. Despite having 150-plus distributors, its largest — Your-Buyer International in the UK and France — was about 25.7% of revenue in fiscal 2025, and on the supply side it relies primarily on a single related-party supplier, Shenzhen Yi Jia in China, for the majority of its products, so a loss at either end would materially hurt it. Because it buys most product from China and makes cannabis hardware in Malaysia, U.S. tariffs of 30% on China and 19% on Malaysia (volatile since April 2025) hit its cost of revenue directly, and its nicotine and cannabis vaping products face FDA PMTA review and evolving regulation, plus lithium-battery product-liability risk.

In its own words
What could break it.
Regulatory & policy
- volatile tariffs on China (30%) and Malaysia (19%) importshigh
U.S. tariffs of 30% on China and 19% on Malaysia imports (volatile since April 2025; Malaysia could revert to 24%+) directly hit Ispire's cost of revenue, since it buys most product from China and manufactures cannabis hardware in Malaysia.
“As of the date of this Annual Report, the U.S. tariff rate on all goods imported from China is 30% and the tariff rate on all goods imported from Malaysia is 19%. These tariff rates have been volatile since April 2025 and may further increase or decrease over the near term.”
SEC filing →As of 2025 - FDA PMTA / nicotine & cannabis vaping regulation; lithium-battery product liabilitymedium
Ispire's nicotine and cannabis vaping products are subject to FDA PMTA review and evolving vaping/nicotine and cannabis regulation in the US and abroad, and its lithium-ion-battery products carry product-liability/defect risk.

Customer concentration
- largest distributor (Your-Buyer International) = ~25.7% of revenuehigh
Despite 150+ distributors, Ispire's largest — Your-Buyer International (UK/France, non-exclusive, standard terms) — was ~25.7% of revenue in FY2025 (30% in FY2024), so loss of that distributor would materially affect sales.
“Our largest distributor, whose territory was the United Kingdom and France, is Your-Buyer International Limited, which accounted for revenue of approximately $32.7 million, or 25.7% of revenue and approximately $45.6 million, or 30.0% of revenue for the years ended June 30, 2025 and 2024, respectively.”

Sole-source dependency
- primarily one supplier — Shenzhen Yi Jia (related party, China)high
Ispire primarily relies on a single related-party supplier, Shenzhen Yi Jia (Shenzhen, China), for the majority of its vaping products; quality failures, related-party conflicts, or inability to establish alternative suppliers could impair product quality and supply.
“As we primarily rely on one supplier, Shenzhen Yi Jia, which is a related party, to supply our products, if this supplier does not produce products that meet the industrial and our standards, we may fail to maintain our quality control over our products.”
