What LENSAR, Inc. told the SEC could break it.
LENSAR's sharpest disclosed risk is trade policy: it imports raw materials for its ALLY System and procedure IDs from tariff-affected regions, and tariffs have raised its product costs by at least 10% and hurt gross margin, with those increases not yet passed on to customers. Its supply and sales channels are both narrow — it has no long-term supply agreements and holds limited inventory of its 78 component parts whose availability can be outside its control, and one distributor was about 13% of 2025 revenue, with all of its non-U.S. sales running through independent distributors. Adoption is also constrained by reimbursement: the advanced laser-assisted cataract surgery and premium IOLs its systems enable are generally not covered by Medicare or other third-party payors.
4 self-disclosed vulnerabilities, pulled from its own filings, each in the company’s words, with the source. This is the risk register almost nobody reads.
In its own words
What could break it.
Regulatory & policy
- tariffs on imported raw materials (≥10% product cost increase)high
LENSAR imports raw materials for its ALLY System and PIDs from tariff-impacted regions; tariff policies raised product costs by at least 10% and hurt gross margin, with prices not yet passed to customers.
“Tariff policies have resulted in an overall increase in the cost of our products by at least 10% and had a negative impact to our gross profit margin.”
SEC filing →As of 2026 - reimbursement — laser cataract / premium IOLs not Medicare-coveredmedium
Advanced laser-assisted cataract surgery and premium IOLs that LENSAR enables are generally not covered by Medicare or other third-party payors, limiting adoption and pricing.
“More advanced procedures, such as laser-assisted cataract surgery and the use of toric and multifocal premium IOLs, can address these additional vision challenges but are generally not covered by Medicare or other third-party payors.”

Customer concentration
- one distributor ~13% of revenue; reliance on independent distributorsmedium
One customer accounted for ~13% of LENSAR's revenue in 2025 (14% in 2024), and outside the US it relies exclusively on independent distributors; a major distributor reducing purchases or defecting would materially hurt results.
“This customer concentration exposes us to a material adverse effect if any of these significant distributors were to significantly reduce purchases for any reason or favor competitors or new market participants.”

Supplier concentration
- no long-term supply agreements; component availability outside controlmedium
LENSAR has no long-term supply agreements and holds limited inventory; availability of component parts can be outside its control, risking production disruption.
“We strive to maintain enough inventory of our various 78 component parts to avoid the impact of potential disruptions in the supply chain; however, availability of these components can be outside of our control.”
