What Lucid Diagnostics Inc. told the SEC could break it.
Lucid Diagnostics expects to derive substantially all of its revenue from a single product line — its EsoGuard and EsoCheck esophageal-precancer tests — so any adverse regulatory, reimbursement, competitive or IP development there would be highly damaging. That product rests on intellectual property licensed from Case Western Reserve University, whose termination would prevent Lucid from commercializing at all and which carries significant royalty and milestone obligations, and the use of EsoGuard with EsoCheck as a testing system must still be cleared or approved by the FDA as an IVD device. All of this sits against weak finances: a $58.0 million net loss in 2025 with minimal revenue, and 12%-coupon 2024 Convertible Notes with restrictive covenants that its cash flow may not be sufficient to service.
4 self-disclosed vulnerabilities, pulled from its own filings, each in the company’s words, with the source. This is the risk register almost nobody reads.
