What Norfolk Southern Corporation told the SEC could break it.
Two large, distinct overhangs dominate Norfolk Southern's register. The first is the East Palestine derailment, where its incident accruals reached $474 million (including $285 million still owed on the Ohio class action), and it faces an active DOJ/EPA civil complaint seeking penalties under the Clean Water Act and CERCLA plus a separate Ohio Attorney General suit. The second is corporate: it agreed in July 2025 to merge with Union Pacific, a deal that requires Surface Transportation Board and other approvals that may not come — or may arrive with operating conditions that erode the expected benefits. A more gradual pressure is coal, 12% of 2025 railway revenue and in structural decline, down 8% year over year as utility and export volumes shrink.
3 self-disclosed vulnerabilities, pulled from its own filings, each in the company’s words, with the source. This is the risk register almost nobody reads.

Regulatory & policy
- Union Pacific merger STB regulatory approvalhigh
NSC entered a merger agreement with Union Pacific on July 28, 2025; completion requires STB and other regulatory approvals that may not be obtained, and regulators may impose material operating conditions on the combined entity.
“On July 28, 2025, we entered into a Merger Agreement with Union Pacific, discussed further in Note 2. The completion of the Mergers is subject to a number of conditions, including, among others, the receipt of the requisite regulatory approvals, which make the completion of the Mergers and timing thereof uncertain. Failure to complete the Mergers could have material adverse effects on the Company. In addition, in granting such approvals, regulatory authorities may impose conditions that could have a significant adverse effect on the Company or the combined company and the expected benefits of the Mergers therefore preventing completion of the Mergers.”
