What NETGEAR, Inc. told the SEC could break it.
NETGEAR's disclosures cluster on a supply chain it depends on but doesn't own. Many of the semiconductors in its products — including switching-fabric and WiFi chipsets — come from sole or limited-source suppliers, leaving those vendors with pricing leverage and NETGEAR exposed to shortages, including the risk that rising AI-chip demand diverts capacity away from the chips it needs. That dependence is geographically concentrated: four of its five primary contract manufacturers are headquartered in Taiwan, with added production in Vietnam, Thailand and Indonesia after it moved out of China — a footprint now sitting under newly announced U.S. tariffs. On the demand side, one customer made up 17% of FY2025 net revenue, and Best Buy, Amazon and Walmart together accounted for about 43% of receivables.
5 self-disclosed vulnerabilities, pulled from its own filings — each in the company’s words, with the source. This is the risk register almost nobody reads.
In its own words
What could break it.
Sole-source dependency
- sole/limited-source semiconductors (switching fabric, WiFi chipsets)high
Many semiconductors are bought from sole-source suppliers on a PO basis, and switching-fabric and WiFi chipsets come from a limited number of suppliers, giving those vendors pricing leverage.
“Many of the semiconductors used in our products are obtained from sole source suppliers on a purchase order basis. In addition, some components that are used in all our products are obtained from limited sources.”

Commodity & input dependence
- semiconductor shortages; AI-chip demand diverting capacitymedium
Rising AI-chip demand may shift semiconductor production capacity away from the chips NETGEAR needs, constraining supply and raising costs.
“as the demand for Artificial Intelligence chips increases, semiconductor production capacity may be shifted to these specific components thereby constraining supply of or increasing cost on chips used in our products.”
Customer concentration
- one customer ~17% of net revenue; top-3 retailers concentrated in ARmedium
In FY2025 one customer accounted for 17% of net revenue, and Best Buy, Amazon and Walmart together made up ~43% of accounts receivable.
“For the years ended December 31, 2025 and 2024, t he Company had one customer in each year that individually accounted for 17 % and 16 % of net revenue, respectively.”

Geographic concentration
- manufacturing concentrated in Taiwan (4 of 5 primary makers) + Vietnammedium
Four of five primary contract manufacturers are headquartered in Taiwan, with additional production in Vietnam — concentrating manufacturing exposure in Taiwan/SE Asia.
“Our primary manufacturers are Cloud Network Technology (more commonly known as Hon Hai Precision or Foxconn Corporation), Delta Electronics Incorporated, Senao Networks, Inc., and Pegatron Corporation, all of which are headquartered in Taiwan.”
Regulatory & policy
- tariffs on SE Asia/Taiwan manufacturing (post-China shift)medium
Having shifted manufacturing entirely out of China, NETGEAR now produces in Thailand, Vietnam, Indonesia and Taiwan, leaving it exposed to newly announced U.S. tariffs on those jurisdictions.
“we manufacture our products overseas in Thailand, Vietnam, Indonesia and Taiwan. If additional tariffs are announced or otherwise implemented”
