CABs may sell to 'eligible employees'

FINRA proposes to broaden who a Capital Acquisition Broker (CAB) can sell newly-issued unregistered securities to by adding “eligible employees.” That includes Knowledgeable Employees under ICA Rule 3c-5 and certain officers, directors, or employees of issuers. If approved, more company insiders could be eligible buyers under the CAB Rules.

CABs can facilitate certain secondary trades

FINRA proposes to allow CABs to act as placement agents or finders for secondary sales of unregistered securities only when both the seller and buyer are institutional investors and the sale qualifies for an exemption from registration (for example, Securities Act Rules 144 or 144A). This would let CABs intermediate some secondary transactions without becoming full broker-dealers.

CAB staff allowed in private deals (PSTs)

FINRA proposes to permit associated persons of CABs to participate in private securities transactions (PSTs) subject to the same requirements that apply to associated persons of non-CAB broker-dealers under FINRA Rule 3280. The prior express prohibition on PSTs for CAB associated persons would be removed.

Rule changes may lower compliance costs for firms

FINRA says the proposed CAB rule amendments may encourage some broker-dealer firms or firms that relied on the M&A Brokers exemption (effective March 29, 2023) to elect CAB status. FINRA notes firms that elect CAB status could benefit from lower compliance costs and fewer supervisory requirements compared with non-CAB broker-dealers.
