$15M IPO Proceeds Requirement for Listing

For companies listing in connection with an IPO or other underwritten public offering, NYSE American will require at least $15,000,000 in market value of unrestricted publicly-held shares satisfied solely from the offering proceeds. The Exchange also notes issuers listing under Standard 4 face an additional $20,000,000 market-value requirement for publicly-held shares.

Minimum $4.00 Share Price to List

If a company wants to list common stock on NYSE American, it must have a minimum market price of $4.00 per share to qualify for initial listing. This replaces the prior $3.00 (and $2.00 for one category) thresholds and is required for applicants under Section 101.

Only Unrestricted Public Shares Count Toward Listing

NYSE American will count only unrestricted publicly-held shares when applying initial listing liquidity and market-value tests. The Exchange adds definitions for "publicly-held shares," "restricted securities," "unrestricted securities," and "unrestricted publicly-held shares" (substantively like Nasdaq) and will exclude restricted securities from those calculations.

Exclude Already Outstanding Shares for IPO Liquidity Tests

When a company lists in connection with an IPO or other underwritten offering, previously outstanding shares (Already Outstanding Shares) will be excluded from the calculation of market value of publicly-held shares for initial listing. The $15,000,000 market value requirement for such listings must be met from the offering proceeds.

90-Day Market Cap and Price Continuity Rule

For Initial Listing Standards 3 and 4, applicants must have met the applicable total market capitalization requirement for 90 consecutive trading days before applying and must have met the $4.00 per share price requirement during that same 90-day period. This applies when listing from OTC markets or transferring from another exchange.

Delisting Tests Applied to Redefined Public Shares

Delisting provisions tied to publicly-held shares will apply using the new definition of Publicly-Held Shares: a listed common stock may be subject to delisting if unrestricted Publicly-Held Shares are fewer than 200,000, if holders of Publicly-Held Shares are fewer than 300, or if aggregate market value of Publicly-Held Shares is less than $1,000,000 for more than 90 consecutive days.
