Nasdaq Texas Adopts Rule 5000 Series

Nasdaq BX (renamed Nasdaq Texas) removed its existing listing rules in Equity 3 and will adopt a new Rule 5000 Series (Rules 5000–5999) that sets initial and continued listing standards substantially similar to Nasdaq's Global Market. The Exchange filed the proposal on January 21, 2026, and the SEC approved the change on February 27, 2026 (published March 4, 2026).

Initial Dual‑Listing Requirement for Nasdaq Texas

Under proposed Rule IM-5220-1, all companies that list on Nasdaq Texas must already be listed on another national securities exchange (i.e., be dually listed). The Exchange says it will initially dually list companies and later file to allow primary listings in the future.

Exchange‑Traded Product Rules Remain in Place

The Exchange will retain its existing rules for initial and continued listing requirements for Exchange Traded Products (Equity 3A) and its authority to trade such securities on a UTP basis, while making certain non‑substantive clarifying changes. The Exchange also amended Equity 3A, Section 1 and Section 2 to broaden statutory references and remove an unnecessary list of securities.

Regulatory Halt Authority Clarified

The Exchange amended Rule 4120(b)(1)(A)(iv) to state it may declare a regulatory halt for a Nasdaq Texas‑listed security to permit dissemination of material news or when the Exchange requests information from the issuer. The amendment is substantially similar to existing Nasdaq rules.
