Private-Credit Focus and Expected Cash Yields

The Trust will invest primarily in private credit assets (personal installment loans, small business loans, point-of-sale loans, and related asset-backed securities) and target loans with terms generally under 60 months and duration under 30 months. The Trust expects monthly cash yield from its Private Credit Asset holdings to range from approximately 5% to 10%, though realized yields may vary.

New Exchange-Traded Private-Credit Shares

You will be able to buy and sell shares of the BondBloxx Private Credit Trust on the Cboe BZX Exchange once the Trust's Form S-1 registration statement is effective. The Exchange requires at least 100,000 Shares outstanding at the start of trading and will list the Shares under BZX Rule 14.11(f).

Shares Have Limited Redemption Liquidity

The Shares are not individually redeemable — they are created and redeemed only in Creation Units of at least 50,000 Shares by authorized participants. The Trust expects to hold about 20% of its portfolio in cash and cash equivalents under normal circumstances to meet redemptions, but if liquidity is insufficient the Trust may sell assets, arrange financing, or suspend redemptions (the Advisor does not expect a suspension to last longer than approximately 2.5 months).
