Sale of Seven Power Plants Required

The proposed Final Judgment requires Constellation to divest seven electric generating facilities (the "Divestiture Assets") located in ERCOT and the PJM Coastal Mid-Atlantic to buyers acceptable to the United States. The remedy is intended to preserve competition in wholesale electricity markets and address the complaint that the merged company could withhold power to raise wholesale electricity prices.

Protections for Plant Workers and Operations

The Final Judgment requires Defendants to help potential buyers hire "Relevant Personnel" (full-time, part-time, or contract employees stationed at a Divestiture Asset), to make those personnel available for interview, and not to interfere with buyers' hiring. Defendants must also warrant that the Divestiture Assets are operational at transfer and use best efforts to help acquirers obtain required licenses, registrations, and permits.

240-Day Divestiture Deadline; Trustee Power

The proposed Final Judgment requires Defendants to complete the divestitures within a 240-day period. If they fail to divest within that 240-day period, the United States may ask the Court to appoint a divestiture trustee who would have the sole right to sell the assets to buyers acceptable to the United States (after consultation with Texas).
