Bigger Regulation A offering limits
If enacted, the bill would raise Regulation A offering caps. It would change paragraph (1) from $5 million to $50 million. It would change paragraph (2)(A) from $50 million to $150 million. The bill would limit affiliate selling holders to no more than $12 million under paragraph (1) and $50 million under paragraph (2)(A). The Securities and Exchange Commission would adjust these dollar amounts for inflation every five years. Adjustments would use the CPI‑U, be published in the Federal Register, and be rounded to the nearest $10,000. The bill would also make the paragraph (5) amount subject to the same inflation rule. If enacted, these changes would take effect upon enactment.
