Member vote and conversion safeguards
Before any member vote, the plan goes to the state insurance commissioner. The commissioner can deny it after a hearing if it breaks the law, is not financially sound, or harms members or the public. The commissioner may give the new insurer up to one year to meet some insurance rules and will list which rules are delayed. The cooperative cannot pay extra pay to existing staff for the conversion; with approval, it can pay reasonable printing, legal, and professional fees for real work.
Health co-ops can become insurers
The law lets health care cooperatives convert into a service insurance corporation. The cooperative must write a plan that explains why, lists terms and steps, the new name, and draft articles and bylaws. After the commissioner approves, members vote under cooperative law, and the cooperative files proof of approval. A member-approved plan can be changed or dropped as allowed by corporate law, and the cooperative must file articles of conversion with the Department of Financial Institutions. When all steps are met, the commissioner issues a certificate; the cooperative ends, the new insurer keeps the same officers and directors, takes all assets and debts, and is treated as incorporated from the cooperative’s original date.
