Stops companies from using standard, non-negotiable contracts to silence or punish people who post reviews or feedback. A contract term is void from the start if it stops or limits a person from giving a review, charges a fee or penalty for giving a review, or forces a person to give away copyright or other rights in their review except by a non-exclusive license. Commission = the Federal Trade Commission. Covered communication = a written, spoken, or visual review or similar feedback about a person’s goods, services, or behavior, including online. Form contract = a contract with set terms used when selling or leasing and imposed without a real chance to negotiate (does not include employer-employee or independent contractor contracts). Pictorial = pictures, photos, video, illustrations, and symbols. The rule does not change legal duties like confidentiality or defamation law. A business may remove reviews that show private personal data, are libelous, harassing, obscene, unrelated to the product or service, clearly false or misleading, or contain viruses or other harmful code. It also may block trade secrets, private personnel or medical files, law-enforcement records, or other content covered by those exceptions. Companies may set rules about photos or video made by their employees or contractors purely for commercial use. It is illegal to offer a form contract with a banned term. The FTC enforces the rule and can use its usual powers and penalties. State attorneys general can sue for residents but must usually notify the FTC first; the FTC may join or take over cases. The FTC had to begin nonbinding best-practice outreach within 60 days after December 14, 2016. The ban on terms applies to contracts made or renewed on or after 90 days after December 14, 2016, and the enforcement rules involving the FTC and states apply to contracts on or after 1 year after December 14, 2016.
