Officers and directors, and anyone acting in those roles, must make an organization that works for a foreign principal file registration statements and any needed supplements under sections 612(a) and 612(b). They must also make it follow the rules in sections 614(a), 614(b), 615, and all other requirements of the subchapter. If the organization is dissolved, those officers and directors still must comply. If the agent fails to follow the rules, each officer and director can be prosecuted.
