Nasdaq Texas Ditches Pre-Trade Info Hassle for Simplicity

Published Date: 10/13/2026

Notice

Summary

Nasdaq Texas is updating Rule 5740 to simplify how info about certain securities is shared with its members. They’re dropping the old rule that required sending info before trading starts and now require a clear, approved description to be given by the first trade confirmation. This change kicks in right away and helps keep things smooth without extra paperwork or delays.

Analyzed Economic Effects

3 provisions identified: 2 benefits, 1 costs, 0 mixed.

Exchange stops pre‑trade member circulars

Nasdaq Texas deleted Rule 5740(a)(1) so it will no longer distribute an information circular to Exchange members prior to the commencement of trading in each UTP Derivative Security. The filing states members generally have access to the primary listing exchange's information circular prior to trading and may rely on that circular instead.

Reduced duplicative obligations for Members

The Exchange eliminated the requirement to issue its own pre‑trade information circular for UTP Derivative Securities, removing what the filing describes as a duplicative procedural obligation applicable to the Exchange as a UTP trading venue. The Exchange states the amendment does not impose new requirements on Members and aligns the Exchange's obligations with the primary listing market.

Written description due by first trade confirmation

The Exchange amended Rule 5740(a)(2) to require that, when a written description is required by the listing exchange, it be provided in a form approved by the listing exchange or prepared by the issuer no later than the time a confirmation of the first transaction in that series is delivered to the purchaser. The Exchange will notify Members by information circular that this written description requirement applies only when mandated by the listing exchange.
