The law expands filing rules for Alaska-law corporations formed under the Alaska Native Claims Settlement Act. Covered corporations must file annual reports and shareholder voting materials with the Alaska administrator when sharing them with at least 30 Alaska-resident shareholders. The rule applies when at least 500 original shareholders were recorded as holding a class of shares at formation. Corporations no longer need more than $1 million in total assets for the filing rule to apply. The corporations handle the filing.
The law allowed eligible Native village corporations dissolved by Alaska's commissioner to seek reinstatement through December 31, 2020. This covered corporations formed under Alaska's corporation law that missed the usual reinstatement period, including the two-year limit. Reinstatement restores corporate and shareholder rights, privileges, liabilities, and obligations as though dissolution never happened. Actions taken by the corporation and shareholders during dissolution are also treated as valid. If the old corporate name is unavailable, the board alone can approve a name change. The law took effect immediately.
