Bill Overview

Analyzed Economic Effects

3 provisions identified: 2 benefits, 1 costs, 0 mixed.

Colorado funds merger law enforcement

The law provides Colorado's Department of Law $68,052 from the General Fund for the 2025–26 fiscal year. It supports implementation through consumer protection, antitrust, and civil rights work. The funding assumes an additional 0.6 full-time-equivalent staff position and does not provide direct payments to households.

Privacy protections for business merger filings

Colorado's Attorney General must keep merger forms, supporting records, and the fact of the filing or proposed merger confidential. They are exempt from Colorado's public-records law. Disclosure in a related court or agency case requires a protective order. The office may share information with federal antitrust agencies or states with equivalent laws and confidentiality protections at least as strong. Before sharing with another qualifying state, the office must give the filer at least two business days' notice.

New Colorado merger filings and penalties

Covered businesses must send Colorado's Attorney General a complete electronic copy of their federal merger form when they file federally. This applies to filers based in Colorado. It also covers filers whose annual Colorado sales, including sales by entities they control, reach 20% of the federal filing threshold. Only sales of goods or services involved in the deal count. Supporting documents must accompany the filing or be provided within seven days after the Attorney General requests them. Colorado charges no filing or document fee, but missed requirements can bring penalties up to $10,000 per day, with due process. The rules apply only to federal merger notifications filed on or after the law's effective date.
