Creditors must prove the required parts of covered transfer claims using a more-likely-than-not standard. Debtors generally missing payments are presumed insolvent and must show that being solvent is more likely. Debtors who meet the federal bankruptcy definition of insolvency also count as insolvent under this law. For debts documented in a record, the debt counts when the debtor's signed record reaches the creditor or is delivered for the creditor's benefit.
For covered transfer claims, recovery is capped at the lower of the asset's adjusted value or the amount owed. Creditors can pursue the first recipient, someone benefiting from the transfer, or later recipients. Good-faith later recipients who gave value, and their good-faith later recipients, have protections; another protection requires reasonably equal value given to the debtor. Creditors generally must prove liability, while parties claiming defenses, recipient exceptions, or value adjustments must prove they apply, using a more-likely-than-not standard. Qualifying secured-debt enforcement is protected, but accepting collateral as full or partial debt payment does not receive that protection.
The law's listed insider groups are examples, not a complete list. Its affiliate definition includes people owning or controlling at least 20% of a debtor's voting shares, with specified exclusions. Someone holding shares as an agent or trustee gets the relevant exclusion only without sole power to decide their vote. These definitions help determine how the law treats transfers involving people connected to a debtor.
