More flexibility for Delaware LLC owners

Beginning August 1, 2026, Delaware LLC agreements can establish series outside the protected and registered types. Series are groups of members, managers, ownership interests, or assets that can have separate rights or business purposes. The law clarifies that LLCs with series can merge, change legal form, or combine through legally allowed routes. Individual series remain limited to the routes in Sections 18-219, 18-220, and 18-221 of Delaware LLC law. The law also defines a “certificate of registered series” to include the certificate and any amendments.
