Health care merger filings get privacy protections
Information sent to Maine's Attorney General under the merger notice rule is confidential, with limited exceptions. Disclosure in a court or agency case requires a protective order, and the proposed merger must be relevant. Information can also go to the Federal Trade Commission or the Justice Department's antitrust division, including successor agencies. Another state's attorney general can receive it only under a substantially equivalent law with privacy protections at least as strong. The filing health care entity must receive at least 2 business days' notice before that interstate sharing.
Health care groups must report covered mergers
Covered health care providers, facilities, and provider groups must send merger papers to Maine's Attorney General when filing federal premerger notices. They must send complete electronic copies of the federal form and any required supporting documents at the same time. This applies to entities based in Maine or meeting a Maine revenue test. The entity or a person it controls must have prior-calendar-year Maine revenue of at least 20% of the federal filing threshold for the goods or services involved. Nursing facilities are excluded. There is no filing fee, but failing to provide notice can bring a civil penalty of up to $10,000 per day.
