Assistant manager rules for single-member PLLCs

The law lets PLLCs name a secretary or treasurer (or assistants) who do not have to be licensed for the profession, subject to state licensing rules. In a single-member PLLC, the assistant manager also does not need to be a “qualified person.” If the manager dies, is incapacitated, or becomes disqualified, the assistant manager may use all of the manager’s rights for up to one year. This only applies if the operating agreement does not say otherwise and follows state limits. The assistant manager cannot perform licensed professional duties or use professional judgment. The law takes effect 60 days after passage.
