Registration and $50,000 bond for funders

Lawsuit funding businesses in Tennessee must register with the Secretary of State and pay a $100 filing fee. They must file and keep a $50,000 surety bond approved by the state. Registration filings are public. Certified copies cost $20, and non‑entity registrants pay $20 to amend or withdraw. The Secretary of State may set additional rules and administrative fees. Businesses tied to foreign adversaries named by the U.S. Secretary of Commerce (15 CFR 791.4) cannot register or operate.

Financiers must cover costs and sanctions

If you use commercial lawsuit funding, the financier shares the risk. The financier is jointly and severally liable for any costs or monetary sanctions tied to the funded case. The financier must indemnify you and your lawyer for adverse costs, attorney fees, damages, or sanctions. This does not cover amounts caused by your or your lawyer’s intentional misconduct.

New limits and disclosures for lawsuit funding

The law sets guardrails on commercial lawsuit funding. A financier cannot control your case or its settlement; you and your lawyer keep all decisions. The contract must state this and include the required disclosures. A financier cannot take more than its share of net proceeds after attorneys’ fees and costs. Annual fees are capped at 10% of the original amount advanced. If you use this funding, you or your lawyer must file the contract in court and share it with other parties within 14 days of your first pleading, or within 14 days of signing or changing it. You may ask the court for a protective order.

Who counts as a lawsuit funder and when

The law defines who is a commercial litigation financier and what funding deals are covered. It excludes parties, attorneys, indemnifying entities or insurers, and some nonprofit pro bono providers. It covers funding tied to getting money damages, and excludes contingency‑fee legal services, commercial tort claims, and workers’ compensation claims. It also defines sovereign wealth fund. The law takes effect upon becoming law and applies to contracts entered into, amended, or renewed on or after that date.
