The commissioner can issue a rule that says certain people are not treated as investment advisers or adviser representatives. If a rule covers you, you are outside those legal definitions and related requirements. This can reduce compliance duties for some small firms.
A Tennessee chancery court may, at the commissioner’s request, appoint the Commissioner of Commerce and Insurance as a receiver or conservator for a defendant or the defendant’s assets. This lets the department take control to protect claimants and creditors in those cases.
The law sets firm filing deadlines for private investor lawsuits under Tennessee securities law. You must sue before the earlier of two dates: five years after the act, or two years after you discover the facts (or should have with reasonable care). Claims filed after the earlier deadline are barred.
Broker-dealers and agents with a Tennessee business location must give the Department of Commerce and Insurance written notice at least 60 days before seeking to remove customer dispute information from the Central Registration Depository (CRD). This covers filings to vacate, modify, or confirm an arbitration award, and any court action for expungement. You must also name the department as a party, unless the commissioner waives that after getting your notice. This also applies if you were registered in Tennessee when the dispute happened.
The law repeals all of Title 49, Chapter 4, Part 1 of Tennessee law. Any programs, duties, or rules in that part no longer apply. Who is affected depends on what was in that part.
