Foreign limited liability company - Admission of foreign limited liability company - Transacting business - Obtaining licenses and permits

A foreign limited liability company may not: 1. Transact business in this state or obtain any license or permit required by this state until it has procured a certificate of authority from the secretary of state. 2. Transact in this state any business that is prohibited to a domestic limited liability company organized under this chapter. 3. Be denied a certificate of authority because the laws of the state or country where the limited liability company is organized differ from the laws of this state.
