Title 12 › CHAPTER 16 — FEDERAL DEPOSIT INSURANCE CORPORATION › § 1831p–1
Federal banking agencies must make rules for all insured banks and savings institutions to keep them safe and sound. The rules must cover things like internal controls, information and audit systems, loan paperwork, how loans are approved, exposure to interest‑rate changes, how fast assets grow, and pay, fees, and benefits. The agencies also must set standards for asset quality, earnings, and stock valuation. For pay and benefits, agencies must ban deals that give executives or large shareholders excessive pay or that could cause big losses. To decide if pay is excessive, agencies must look at total cash and noncash pay, the person’s pay history and peers, the institution’s financial condition, pay at similar institutions (by size, location, and complexity), projected cost of post‑employment benefits, any link to fraud or insider abuse, and other relevant factors. The rules must be made as regulations or guidelines and may not set a fixed dollar amount or range for pay, though other laws can limit pay (including golden parachutes) or control pay at undercapitalized institutions. If an institution fails to meet standards, the agency will generally require an acceptable plan to fix the problem, normally asking for the plan within 30 days and acting on it within about 30 days after it is submitted. If the institution does not submit or follow the plan, the agency must order correction and may restrict asset growth, require more tangible equity, or take other corrective actions. If the institution is new, recently had a change of control within 24 months, or grew unusually in the prior 18 months, the agency must use one or more of those stronger actions. The words “average” and “capital restoration plan” have the same meanings as in related law, and these powers add to other agency authorities.
