Federal banking agencies must make rules that every insured bank follows to stay safe and run well. The rules cover things like internal controls and audits, loan paperwork and underwriting, interest-rate risks, how fast assets grow, pay and benefits, asset quality, earnings, stock value, and other operations or management matters the agency finds needed. The agencies must ban pay or benefit deals that are clearly excessive or could cause big losses. They must explain how to tell if pay is excessive by looking at total cash and noncash pay, the person’s pay history and peers, the bank’s finances, pay at similar banks, the cost of postjob benefits, any link to fraud or insider abuse, and other relevant facts. The rules can be regulations or guidelines, but they cannot set a fixed dollar amount or range for pay. Agencies can still limit pay under other laws, including special limits for failing or undercapitalized banks. If a bank breaks a rule, the agency will usually require a plan to fix it. The bank generally must send a plan within 30 days after the agency’s finding, and the agency will act on the plan within 30 days after it is filed. If the bank does not file or follow an acceptable plan, the agency must order fixes and may limit the bank’s asset growth, force higher tangible equity, or take other corrective steps. If the bank failed a standard and hasn’t fixed it, and either started operations or changed control in the 24-month period before failing, or had extraordinary growth in the 18-month period before failing, the agency must use one or more of those corrective actions. Defined terms: average — a specific way to measure assets used for these rules; capital restoration plan — a plan to bring a bank’s capital back up to required levels (both are defined elsewhere in the law).
