A national bank cannot change into, merge with, or join a State bank under this subchapter and section 321 if that would violate the laws of the State where the bank is located. Such a change is allowed only if the State’s law lets State banks convert into or merge with national banks without needing state approval and the State’s rules are no stricter than those in section 214a.
