Title 12 › CHAPTER 23 — FARM CREDIT SYSTEM › SUBCHAPTER V — FARM CREDIT ADMINISTRATION ORGANIZATION › Part E — Farm Credit System Insurance Corporation › § 2277a–10c
Gives the Farm Credit System Insurance Corporation the power to take over, run, sell, merge, or close any Farm Credit System institution when the Corporation is named conservator or receiver. The Corporation becomes the legal successor to the institution’s rights, records, and assets. It can operate the business, collect money owed, preserve assets, hire private vendors, create rules for conservatorships and receiverships, and, if needed, wind the institution down or set up a temporary "bridge" System bank to hold assets and loans. The Corporation must notify creditors when an institution is closed (notice at least 90 days with follow-up notices about 1 month and 2 months later), decide ordinary claims within 180 days (unless extended by agreement), and allow claimants 60 days after a denial to go to court. There is an expedited process for claims that say they have valid security interests; the Corporation must decide those within 90 days. Filing a claim with the receiver pauses any statute-of-limitations and does not stop other lawsuits the claimant had before the receiver was appointed. The receiver may pay allowed claims from the institution’s assets and must follow a priority order that pays receiver expenses first, then certain wages (up to $11,725 per person as indexed) and other classes of creditors before stockholders. A conservator may ask courts to pause lawsuits for up to 45 days; a receiver may ask for up to 90 days. The Corporation can reject burdensome contracts made before takeover (with limited liability for direct damages), avoid transfers made with intent to hide or cheat within 5 years of takeover, and must follow special rules for many financial contracts like swaps, repos, forwards, and securities contracts. A bridge System bank can operate for 2 years and the Board may extend it for three extra 1-year periods. The Corporation does not need to post a bond, can hire agents, and may pay liquidation costs from funds it controls.
