Title 12 › CHAPTER 53 — WALL STREET REFORM AND CONSUMER PROTECTION › SUBCHAPTER II — ORDERLY LIQUIDATION AUTHORITY › § 5385
When the Corporation is named receiver for a covered broker or dealer, it must appoint the Securities Investor Protection Corporation (SIPC) to act as trustee to run the liquidation under the Securities Investor Protection Act of 1970. SIPC must quickly file for a protective decree in a federal district court, and the court must issue that decree right away. After the decree, SIPC will handle deciding and paying claims and liquidating assets that stay in the receivership and are not moved to a bridge financial company. The "filing date" for the liquidation is the day the Corporation became receiver. SIPC must deal with all claims that arose on or before that filing date. SIPC gets the powers it has under the 1970 Act, but it has no power over assets or debts that the Corporation transfers to a bridge financial company. SIPC’s work must not stop the Corporation from doing its duties, such as making funds available, setting up or running a bridge financial company, moving assets and liabilities, or dealing with contracts. Qualified financial contracts are handled only under section 5390. Courts generally may not block the Corporation’s actions as receiver, and claims against the Corporation are limited to money damages and are decided under section 5390. The Corporation must not reduce customer rights to customer property, cut timely net equity payments, or make customer recoveries worse than under the 1970 Act. SIPC, the Corporation, or a bridge financial company must promptly give customers securities or payments at least as favorable as they would have gotten under the 1970 Act with the same filing date. SIPC allocates customer property under section 8(c) of that Act, and other claims follow the priorities in section 5390(b). The Commission and the Corporation, after consulting SIPC, must issue rules to carry out these steps.
