Title 15 › Chapter 4— CHINA TRADE › § 146
Gives the corporation basic legal powers to exist and operate. It must be able to continue as the same legal entity while it exists and must have a corporate seal (it can change the seal only with the Secretary’s approval). The corporation can sue and be sued, do its authorized business and activities related to that business, make contracts and take on liabilities, buy and sell property needed for its purpose, borrow money and issue bonds or notes secured by mortgages, and open branch offices in China.
