Title 15 › CHAPTER 98 — PUBLIC COMPANY ACCOUNTING REFORM AND CORPORATE RESPONSIBILITY › SUBCHAPTER I — PUBLIC COMPANY ACCOUNTING OVERSIGHT BOARD › § 7213
Creates rules that audit firms must follow for audits, ethics, independence, and quality control. The Board must write and update these rules. It can use ideas from designated accounting groups or expert advisory groups, but it keeps the power to change those ideas. Some rules can be adopted at first as temporary standards and later approved by the Commission. Rules that force firms to rotate auditors or add extra auditor analysis do not apply to an "emerging growth company" unless the Commission decides after April 5, 2012 that those rules are needed for investors and the markets. The rules must make firms keep audit work papers and related records for at least 7 years. They must require a second partner or a qualified independent reviewer to approve audit reports. Audit reports must say what testing was done of the company’s internal controls, report the auditor’s findings, evaluate whether the controls keep accurate records and allow correct financial statements, and describe any material weaknesses or serious noncompliance found. Quality control rules must cover ethics and independence monitoring, internal consultations, supervision, hiring and training, deciding whether to take or keep clients, internal inspections, and other items the Board sets. The Board must run or allow advisory groups, work with designated accounting groups, respond to their requests, and summarize its standard-setting work in its annual report.
